SECTION II: OBJECT OF THE CONTRACT
II.1) DESCRIPTION
II.1.1) Title attributed to the contract by the contracting authority:
Essex County Council Building Schools for the Future Wave 4.
II.1.2) Type of contract and location of works, place of delivery or of

II.1.3) The notice involves: A public contract.
II.1.5) Short description of the contract or purchase(s): Essex County
Council is seeking an innovative private sector partner or partners to
participate and invest in a new Public Private Partnership vehicle (a
Local Education Partnership or LEP) to be established jointly with some or
all of the contracting authorities (as noted in Section Vl.3).
The LEP will provide (or arrange the provision of) Partnering Services,
which will include (but not be limited to) the development of a strategic
investment programme for secondary educational facilities. A number of
services will be offered exclusively to the LEP and, subject to its
satisfactory performance, additional services may also be offered. These
services are as follows:
Proposed LEP exclusivity.
For all BSF schools in Waves 4, 5 and 6:
— Construction (over £500k),
— Managed ICT services,
— Hard Facilities Management (FM) services – reactive, lifecycle and
planned preventative maintenance for PFI schools,
— Soft FM services for PFI schools,
— Primary Capital Programme PFI projects in Essex.
Proposals for potential additional work to be offered to the LEP.
— Exclusivity as above for Waves 7, 8 and 9 of the Essex BSF programme,
— Capital works for Academies identified in later BSF Waves where these
are to be delivered ahead of their programmed date,
— Hard FM and Soft FM for Waves 4-9 ‘Design and Build schools’ and non-BSF
schools,
— Primary Capital Programme Design and Build projects,
— Managed ICT services for secondary schools not in Wave 4, 5 and 6;
— Managed ICT services for primary schools;
— Other Children and Young Peoples services, including extended services;
— Build, maintain and operate buildings delivering Local Authority
services;
— School improvement related services.
Please note, the contracting authorities also reserve the right to
competitively tender this potential additional work.
The LEP may also be required (subject to Essex County Council or other
contracting authority approval (as appropriate) to provide services in
respect of other educational facilities and other community facilities
which support educational outcomes or for any other facilities to be
provided by one or more of the contracting authorities in the contracting
authorities' area or any other facilities to be provided by Essex County
Council in the exercise of the powers contained inter alia Section 2(1) of
the Local Government Act 2000 (e.g. libraries, leisure provisions, civic
buildings and regeneration developments) (the Relevant Facilities).
The Partnering Services will also include architectural, engineering,
construction, technical and building services, strategy advisory services,
programme management and project development services, procurement
consultancy services and procurement and delivery or management of all
services required to deliver the strategic investment programme for the
Relevant Facilities (including through the provision, integration and
management of supply chain arrangements). The Partnering Services may also
include educational support services, education programme development
services, educational strategy services and all or any of the additional
services detailed in the LEP Partnering Services Specification or which
the LEP may be required to provide to further the Essex County Council BSF
project, or Essex County Council's objectives generally.
The LEP will be required to provide the Partnering Services for a period
of up to 15 years. The Relevant Facilities will be delivered under Private
Finance Initiative (PFI) and design and build arrangements with the
contracting authorities contracting directly with the LEP, or Special
Purpose Vehicles (SPV) established by the LEP. Where a SPV is established,
the shareholders in such SPV may include the LEP, third party equity
providers and supply chain members.
The first phase of the Essex County Council BSF project is currently
envisaged to consist of 2 new secondary schools (PFI), 1 new SEN school
(PFI) and 1 SEN extension (Design & Build). In future phases there will be
a combination of new build and refurbishment (through PFI and under design
and build).

II.2) QUANTITY OR SCOPE OF THE CONTRACT
II.2.1) Total quantity or scope: The estimated capital value of the
initial projects covered by this procurement is in the region of £70 000
000 GBP. Potential further projects arising in the first 8 year period may
result in the total estimated capital value (including the initial
projects) being approximately £1 000 000 000 GBP.
Estimated value excluding VAT:
Range: between 70 000 000 and 1 000 000 000 GBP.
II.2.2) Options: Yes.
Description of these options: The partnering contract between the private
sector partner and the contracting authorities will be for a period of 10
years with an option to extend (exercisable during the initial 10 year
term) for a further 5 years. The option to invoke such an extension shall
be the sole right of the contracting authorities, who reserve the right to
review contract performance on a regular basis.
The project may also include additional services or works which are a
repetition of the services or works provided under the original contract
in accordance with Regulation 14(1)(d)(ii) of the Public Contracts
Regulations 2006.
II.3) DURATION OF THE CONTRACT OR TIME-LIMIT FOR COMPLETION: Duration in
months: 180 (from the award of the contract).
SECTION III: LEGAL, ECONOMIC, FINANCIAL AND TECHNICAL INFORMATION
III.1) CONDITIONS RELATING TO THE CONTRACT
III.1.1) Deposits and guarantees required: The Contracting Authority
reserves the right to require deposits, guarantees, bonds or other forms
of appropriate security.
III.1.2) Main financing conditions and payment arrangements and/or
reference to the relevant provisions regulating them: The Contracting
Authority reserves the right to require deposits, guarantees, bonds or
other forms of appropriate security.
III.1.3) Legal form to be taken by the group of economic operators to
whom the contract is to be awarded: The contracting authorities are
seeking a private sector partner or partners to participate and invest in
the LEP which will take responsibility for and manage a supply chain of
providers. The contracting authorities reserve the right to require
groupings of contractors to take a particular legal form or to require a
single contractor to take primary liability or to require that each party
undertakes joint and several liability irrespective of the form of the
LEP. This may include the LEP establishing a special purpose vehicle (SPV)
which will contract directly with the contracting authorities for the
delivery of specific projects. Where an SPV is established the
shareholders in such SPV may include the LEP, third party equity providers
[and supply chain members].
III.1.4) Other particular conditions to which the performance of the
contract is subject: Yes.
Under this project any SPV or private sector partner and its supply chain
will be required to actively participate in the achievement of social
and/or environmental policy objectives relating to recruitment and
training and supply chain initiatives and other similar initiatives.
Accordingly contract performance conditions may relate in particular to
social and environmental considerations.
III.2) CONDITIONS FOR PARTICIPATION

accordance with Articles 45 to 50 of Directive 2004/18/EC and Regulations

VI.3) ADDITIONAL INFORMATION: An open day will be held on 19.11.2008 at
Stock Brook Country Club, Queen's Park Avenue, Stock, Nr. Billericay,
essex, CM12 0SP. If you have not already reigstered for the open day and
still wish to attend, then please contact Essex County Council via the
supplier portal no later than 14.11.2008 by 12:00 at noon. The Authority
cannot guarantee a place on this open day as places are restricted,
however every effort will be made to accommodate those who request a place
by the deadline date. Following the open day, details of the information
provided during the open day will be published on Essex County Council's
BSF website: www.essexbsf.org.
There will be an opportunity for long-listed Bidders to visit the sample
schools on 15.1.2009 (please note this information has been updated since
the publicing of PIN reference 2008/S 172-229905 published 3.4.2008).
Section 1.1 – Essex County Council is acting as lead contracting authority
on behalf of the following contracting authorities (and their statutory
successors and organisations created as a result of re-organisation or
organisational changes).

Academies established or to be established within Essex and adjacent
areas;
Other bodies with responsibility for education and/or educational

Voluntary controlled schools (and their governing bodies);
Foundation schools (and their governing bodies);
Governing bodies of community schools;
Foundation partnerships;
School Federations and Trust Schools (and their governing bodies);

Other stakeholders in this project may include (but are not limited to)
sportessex, Sport England, Essex Police, South East Essex PCT, North East
Essex PCT, West Essex PCT, Business Link East, ExDRA.
It should be noted that in the event of re-structuring within local
government that this procurement will pass to successor authorities.
Partnerships for Schools is the non-departmental public body established
by the Department of Children, Schools and Families to implement the BSF
initiative. BSF Investments LLP has been established by the Department of
Children, Schools and Families and Partnerships UK as the body which will
invest equity in the LEP. More information on the BSF initiative is set

Section I.2) – Additional types of contracting authority: national

Section II.1.2(c) – Additional service categories: 7,12, 14, 17, 23, 24,

Section II.1.9) – Variants will be accepted in addition to a compliant bid
(as set out in the tender/contract documents) providing the contracting
authorities' core requirements are met and provided they are in accordance
with the tender/contract documents.
Section II.2.2). and II.3) – The partnering contract between the private
sector partner and the contracting authorities will be for a period of 10
years commencing on [7 May 2010] with an option to extend for a further 5
years (such option being exercisable during the initial 10 year term). The
option to invoke such an extension shall be the sole right of the
contracting authorities. The term of any design and build, PFI, facilities
management, management services or ICT agreements or other agreements
flowing from the partnership may extend beyond this period.
Section IV.3.3) – The PQQ and information memorandum are available upon
request from the address specified in section 1.1 (portal) from the date
of despatch of this notice to 10.12.2008. The address is

The supplier portal will be used throughout the procurement process, and
all communications to Essex County Council should be via the portal. The
supplier portal has instructions on how to use the system and access the
information as well as a helpdesk to assist Bidders.
It is anticipated that the invitation to participate in the dialogue
(ITPD) will be sent to long-listed bidders on 9 January 2009. It is the
contracting authorities' intention to down-select suppliers following the
ITPD stage, and invite the successful short-listed bidders to continue
onto the ITCD (Invitation to Continue Dialogue) stage of the procurement
exercise. Details regarding the down-selection process will be available
in the draft ITPD document, which will be available with the PQQ.
Section IV.3.4) – Expressions of interest must be by way of completion and
return of the pre-qualification questionnaire (PQQ) by the date and time
specified in Section IV.3.4.
Essex County Council reserves the right to amend timescales, and change
the evaluation criteria if there are genuine omissions or mistakes. We
also reserve the right to reduce the number of bidders throughout the
Procurement Process. The evaluation criteria for variants will be provided
in the Descriptive Document available at the Invitation to Participate in
Dialogue (ITPD) stage.
